Terms of Service

1. The agreement

These Terms are a contract between you and Texti AI Mobility Inc., a Newfoundland and Labrador corporation ("we", "us"). You accept them by creating an account or using the service — including sending a booking request to our WhatsApp number. If you drive with Texti AI Mobility Inc., the Driver Terms in section 6 also apply to you. If you do not agree, do not use the service.

2. What Texti AI Mobility Inc. is (and isn't)

Texti AI Mobility Inc. is the contracting supplier and merchant of record for the passenger-facing service. Texti AI Mobility Inc. requests, matches, prices, dispatches, tracks, charges, and receipts each ride. Transportation fulfilment is performed for Texti AI Mobility Inc. by independent drivers who are not employees, agents, or representatives of the company. Your passenger contract and payment are with Texti AI Mobility Inc.; the assigned driver remains independently responsible for safely and lawfully operating the vehicle.

The service is delivered through WhatsApp, which is operated by Meta and subject to Meta's own terms. Texti AI Mobility Inc. is not affiliated with Meta, Stripe, VoPay, Google, or OpenAI; those providers process parts of the service under their own terms.

Texti AI Mobility Inc.'s software, branding, and content belong to us or our licensors. We grant you a personal, revocable, non-transferable licence to use the service for its intended purpose. Feedback you send us may be used to improve the service without obligation to you.

Our Privacy Policy explains what personal information we collect and how we handle it. It forms part of these Terms.

9. Disclaimers

The service is provided "as is" and "as available". We do not guarantee that a driver will always be available, that estimated times are exact, or that the service will be uninterrupted or error-free. To the extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Nothing in these Terms limits rights that applicable consumer-protection law says cannot be limited.

10. Limitation of liability

To the maximum extent permitted by law, Texti AI Mobility Inc.'s total liability for any claim arising out of the service is limited to the greater of (a) the amounts you paid to Texti AI Mobility Inc. in the 6 months before the event giving rise to the claim, or (b) CAD $100. We are not liable for indirect, incidental, special, or consequential damages, or for the acts or omissions of riders, drivers, or third-party providers, except where the law does not permit such limits (nothing here limits liability for our own gross negligence, wilful misconduct, or for death or personal injury caused by our negligence).

11. Indemnity

You agree to indemnify Texti AI Mobility Inc. against claims and costs (including reasonable legal fees) arising from your breach of these Terms, your violation of law, or your infringement of someone else's rights while using the service.

12. Suspension and termination

You may stop using Texti AI Mobility Inc. and ask us to close your account at any time. We may suspend or terminate accounts that breach these Terms, create safety risks, or engage in fraud. Sections that by their nature survive termination (payments owed, liability limits, indemnity, governing law) survive.

13. Governing law and disputes

These Terms are governed by the laws of the Province of Newfoundland and Labrador and the federal laws of Canada applicable in it. Before going to court, contact support — most issues are resolved there. Unresolved disputes are subject to the exclusive jurisdiction of the courts of Newfoundland and Labrador, sitting in St. John's, unless applicable consumer law gives you the right to bring proceedings in your local courts.

14. Changes to these Terms

We may update these Terms as the service evolves. For material changes we will give you notice on WhatsApp before they take effect. Continued use after the effective date means acceptance; if you don't agree, stop using the service and contact us to close your account.
